These Terms of Use (“Terms”) govern your access to and use of InvoiceX Nigeria’s website and application (“Services”).
By using the Services, you agree to these Terms.
If you do not agree, do not use the Services.

Heads up: Your content stays yours, but we need permission to process it so the platform can generate invoices, reports, and exports.
1. Who we are
InvoiceX Nigeria (“InvoiceX”, “we”, “us”) provides invoicing and record-keeping software for Nigerian businesses.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services.
3. Accounts and security
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree that information you provide is accurate and up to date.
- You are responsible for all activity under your account.
4. Subscription plans, trials, and billing
InvoiceX may offer free trials and paid plans (e.g., “Business Lite” and “Tax Ready”) as described on our website or in our communications.
- Trial access may be limited in time and features.
- Paid subscriptions may renew monthly or yearly depending on the plan you choose.
- Pricing may change; we will update the website or notify you where appropriate.
- If payments are handled via third-party channels (e.g., bank transfer, payment processors), those channels may have their own terms.
5. Permitted use
You may use the Services only for lawful business purposes, including generating invoices, tracking purchases/expenses, and exporting reports.
6. Prohibited use
You agree not to:
- misuse the Services (attempt unauthorized access, probe security, or disrupt service)
- upload malware or harmful code
- use the Services to violate any law or infringe rights of others
- copy, resell, or exploit the Services except as permitted by us in writing
7. Your content and data
“Your Content” includes information you input into the platform (business profile data, invoice data, customer/vendor data, purchases, exports).
- You retain ownership of Your Content.
- You grant InvoiceX a limited license to host, process, and display Your Content solely to provide and improve the Services.
8. Intellectual property
InvoiceX and its logos, product names, design, and software are owned by InvoiceX (or its licensors).
You may not use our branding without written permission.
9. Tax/legal disclaimer
InvoiceX is a record-keeping and invoicing software. We do not provide legal, accounting, or tax advice.
- You are responsible for verifying your tax obligations, VAT registrations, invoice requirements, and filings.
- Any VAT calculations or “FIRS-ready” reports are provided as a convenience and may require review by a qualified professional.
10. Service availability
We aim to keep the Services available, but we do not guarantee uninterrupted or error-free operation.
We may suspend or modify the Services for maintenance, upgrades, security, or other operational reasons.
11. Third-party services and links
The Services may link to third-party platforms (e.g., WhatsApp, YouTube).
We are not responsible for third-party content, policies, or availability.
12. Termination
We may suspend or terminate access if:
- you violate these Terms,
- we are required to do so by law,
- it is necessary to protect the Services or other users.
You may stop using the Services at any time. Account deletion requests can be sent to
info@responsiveai.agency.
13. Limitation of liability
To the extent permitted by law:

InvoiceX will not be liable for indirect, incidental, special, consequential, or punitive damages,
or loss of profits, data, or goodwill.

Our total liability for claims relating to the Services is limited to the amount you paid to InvoiceX for the Services
in the 3 months before the claim arose (or ₦0 if you used only a free plan).
14. Indemnity
You agree to indemnify and hold InvoiceX harmless from claims arising out of:
- your use of the Services,
- your violation of these Terms,
- your infringement of rights of a third party.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
Disputes shall be resolved in the courts of Nigeria, unless otherwise required by law.
16. Changes to Terms
We may update these Terms. Continued use of the Services after updates means you accept the updated Terms.
